- itself, or the posting of which, infringes any third party’s rights (including, without limitation, intellectual property rights and privacy rights).
Please use your common sense when interacting with our Stuff and follow our Code of Conduct, because you are solely responsible for, and bear all liability in relation to, your postings! Koel Labs has no obligation to monitor the content of our Stuff. However, Koel Labs reserves the right to review content posted to our Stuff and to remove any content at any time, without notice, for any reason and in its sole discretion. Opinions and other statements expressed by third parties are theirs alone, not opinions of Koel Labs. Content created by third parties is the sole responsibility of the third parties and its accuracy and completeness are not endorsed or guaranteed. Our Stuff and third parties may provide links to web pages, web sites, and various resources or locations on the web. All of our public guides, blog posts, LinkedIn posts, and other social media announcements are written by Koel Labs (Posts) but we are always looking to share our pearls of wisdom with others! To that end, Koel Labs grants you a non-exclusive, revocable licence to share the Posts for non-commercial purposes on any social media platform or website. You must ensure you always credit Koel Labs as the author. If you wish to use any Post for commercial use, you must obtain Koel Labs' prior written consent. Koel Lab may revoke authorization to share the Posts at any time.

We may terminate or suspend your account and bar access to our Stuff immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. If you wish to terminate your account, you may simply discontinue using our Stuff. You may also contact us to request the deactivation of your account.
You expressly agree that the use of our Stuff is at your sole risk. Our Stuff is provided on an "as is" basis and Koel Labs makes no warranties, expressed or implied, and disclaims any implied warranties of merchantability, fitness for a particular purpose and non-infringement. Koel Labs disclaims any warranty that our Stuff will be uninterrupted, secure or error free.
Koel Labs and its directors, officers, employees, consultants, agents and other representatives shall not be liable under any circumstances including without limitation for any claims, charges, demands, damages, liabilities, losses or expenses of whatever nature and howsoever direct, indirect, incidental, special, exemplary, punitive or consequential damages (however arising including negligence), loss of use, loss of data, loss caused by a computer or electronic virus, loss of income or profit, loss of or damage to property, wasted management or office time, breach of contract or claims of third parties or other losses of any kind or character, even if Koel Labs has been advised of the possibility of such damages or losses, arising out of or in connection with the use of our Stuff.
Koel Labs assumes no responsibility or liability arising from the content of our Stuff nor for any error, defamation, libel, slander, omission, falsehood, obscenity, pornography, profanity, danger or inaccuracy contained in any information within our Stuff or accessed through our Stuff.
Nothing in the Terms limits or excludes Koel Labs' liability for:
- death or personal injury caused by their proven negligence; or
- any liability which cannot be limited or excluded by law.
Koel Labs does not have a duty to update information contained in our Stuff, and we will not be liable for any failure to update such information.
If we are sued as a result of your use of our Stuff then we have the right to defend or settle the relevant claim as we see fit. If we ask, you will co-operate fully and reasonably as required by us in the defence of any relevant claim.
You agree to hold harmless and indemnify us and our officers, directors, employees, agents, representatives and licensors from and against any third party claims, damages (actual and/or consequential), actions, proceedings, demands, losses, liabilities, costs and expenses (including reasonable solicitor’s fees) suffered or reasonably incurred by us arising as a result of, or in connection with, your access to and use of our Stuff, the uploading or submission of content to our Stuff by you or your conduct, other than in accordance with the Terms or any applicable law or regulation (“Claim”). Koel Labs retains the exclusive right to settle, compromise and pay any and all Claims or causes of action which are brought against us without your prior consent.
